SPEAKUP MEMBERS AGREEMENT

INTRODUCTION

The purpose of this team working agreement is to outline standardized expectations for the Speak up Kuwait, but not limited to, the working relations and group structure among team members of SpeakUp Kuwait.

THE CONTENTS HEREIN ADDRESSED ARE:

2. Decision making
3. Responsibility
4. Participation
5. Leadership
6. Consequences

COMMUNICATION

Communication between team members shall be through e-mail, phone conversations, WhatsApp group and weekly team meetings. Members will check their e-mail once daily and reply when requested or necessary. Team meetings are scheduled every Sunday evening at 7:00 pm.
If a member cannot attend a team meeting, they must communicate to team leader at least 2 hours prior to the meeting. Failure to communicate their absence will result in a strike (see"Consequences"below).

DECISION MAKING

All ideas and directions will be discussed by the team members and kept open until a final consensus decision is made by the team leader. Failure to communicate, or acting on a decision not sanctioned by the entire team, will result in one strike. (Please refer to "Consequences" section.)

RESPONSIBILITY

Members of the team are expected to complete any and all tasks assigned to them by the due date. If unforeseen obstacles prevent task completion, this will be handled accordingly. Difficult or unclear responsibilities must be voiced to other team members or team leaders swiftly so that they can be clarified or redefined.

LEADERSHIP

Leadership is strictly informal with a democratic debate system used for decision-making. A primary meeting facilitator will be assigned prior to each meeting. The facilitator will be responsible for compiling an agenda and directing the smooth flow of the meeting. Natural leadership will evolve over time, and this working agreement shall be edited to accommodate such future logistical changes.

GROUP PROGRESS

The group will create a timeline that includes dates for expected completion of work and other group objectives. This timeline will help the group to determine progress and how rules should be enforced with regard to participation of each group member.

CONSEQUENCES

Consequences will be based on a strike program with two strikes resulting in a probationary status and three strikes resulting in removal from the team.
While on probation the team member must demonstrate his/her ongoing commitment to the team by discussion with the team leader.

STRIKES MAY BE GIVEN FOR ANY ONE OF THE FOLLOWING REASONS:

1. Missed meetings or sessions without either communication 2 hours prior or a legitimate conflict.

2. Failure to abide by the rules presented in this working agreement.

3. Low commitment and substandard work presented in assigned tasks.


For core members who decide to not continue in SpeakUp Kuwait, are obliged to pay the full amount of the training program, which is a total of 350KD.
[SpeakUp Kuwait has the right to remove a team member for other reasons regarding work or social ethics, and will discuss with member before removal].

SUMMARY

The ideas and requirements set forth in this working agreement are established so as to provide the best possible working conditions for completing this program and being a part of the team and community.

SPEAKUP KUWAIT MEMBERS ARE DIVIDED INTO TWO PARTS:
1- ASSOCIATES:

THEY SHAPE THE CONNECTIVE THREADS OF SPEAKUP KUWAIT AS AN ORGANIZATION TO THE KUWAITI SOCIETY, GIVEN THEIR STATUS AND VAST CONNECTIONS AND ACTIONS.

ASSOCIATES ARE EXPECTED TO DELIVER THE FOLLOWING:

• A commitment of one hour weekly for SpeakUp Kuwait diwaniya.
• Two hours weekly of commitment to social media content.
• Required to come up with new ideas of social media expansion, and commit in executing the idea given.
• Required to suggest to a leadership role from your choice and approved by the team leader within the requirements of SpeakUp Kuwait, on trial basis.
• If trial basis is successful, you will be promoted to core, as per your choice and approval of team leader.
BENEFITS OF ASSOCIATES:

• Support on personal ideas for expansion.
• Partial support and exposure on SpeakUp Kuwait social media.
• Partial support and exposure on SpeakUp Kuwait nights tour.
• Network expansion.
• Leadership role from your choice after approval on trial basis.

2- CORE MEMBERS:

THEY SHAPE THE CORE OF SPEAKUP KUWAIT, THEY AID IN THE FORMULIZATION OF THE ORGANIZATION THROUGH THEIR HIGH LEVEL OF COMMITMENTS AND ACTIONS.

CORE MEMBERS ARE EXPECTED TO DELIVER THE FOLLOWING:
• Complete the 4-week training program. Two sessions weekly (total 4 hours a week) with the total of 10 sessions.
• A commitment of one hour daily for content of social media and defined roles.
• A commitment of one hour weekly for SpeakUp Kuwait diwaniya.
• Required to commit and attend to the SpeakUp Kuwait nights tour.
• Required to commit to a leadership role from your choice and approved by the team leader within the requirements of SpeakUp Kuwait.
• If a choice is not taken, the team leader will assign a role to the member based on vacancy.
• Required to be assigned a role for the outreach project to educational institutions and local organizations.
BENEFITS FOR CORE MEMBERS: • Gain the benefits of attending the 4-week program.
• Support on personal business projects of the members.
• Full support and exposure on SpeakUp Kuwait social media.
• Full support and exposure on SpeakUp Kuwait nights tour.
• Network expansion.
• Leadership role in the outreach project to represent SpeakUp Kuwait in an assigned organization from team leader.
• Become a permanent member of SpeakUp Kuwait family.

NON- DISCLOSURE AGREEMENT

THIS NON-DISCLOSURE AGREEMENT (“Agreement”) is entered by and between SpeakUp Kuwait (“Owner”), and SpeakUp Kuwait Members- Supporters- Sponsors ("Recipient").
1. CONFIDENTIAL INFORMATION. As used in this Agreement, “Confidential Information” means all non-public information related to the Business, including without limitation, financial information, technical information, marketing information, cost information, sales information, customer information, operating information, product information, all documents, reports, plans, formulas, compilations, devices, techniques, data, materials, methods, processes, sources, and any other information, however described, which is, or could be, valuable in the type of business in which “Recipient” is engaged.

Recipient shall not have any ownership rights or license with respect to any Confidential Information, and shall not use any Confidential Information for its benefit without Owner’s prior written consent.

2. AGREEMENT NOT TO DISCLOSE. “Recipient” agrees that they will not disclose, divulge, communicate or confirm to any person or entity, for any purpose or reason whatsoever, any Confidential Information, without the prior written consent of Owner. The foregoing parties shall only receive such Confidential Information as reasonably necessary for the purpose set forth above, and shall agree to maintain confidentiality in accordance with terms no less protective that those set forth in this Agreement. All such information shall be deemed confidential, sensitive and valuable, shall be used solely for the purpose set forth above, and shall not at any time, in any manner, be used for any other purpose. The restrictions described herein shall apply to the extent that the Confidential Information (i) is not otherwise made public by Owner, (ii) is not already a matter of public information, or (iii) is not requested in the context of records request in connection with a lawsuit; provided that in the case of such a request, “Recipient” shall give adequate notice to Owner that such Confidential Information has been requested in connection with a lawsuit and shall allow Owner to enter into such proceedings for the purpose of protecting against disclosure of such Confidential Information. If a party claims to have known any such Confidential Information prior to disclosure, that party shall have the burden of proof of such prior knowledge. 3. GENERAL PROVISIONS. This Agreement shall be governed by the laws of the State of Kuwait in which the Head Office of the Business is located. If a dispute arises with regard to this Agreement, “Recipient” agrees that it shall be subject to personal jurisdiction.
